Antonia is a general corporate and commercial transactional attorney practicing in franchise and licensing law, mergers and acquisitions, commercial contracts and transactions, private equity financing, and general corporate and organizational matters. She represents franchise companies of all development stages, from industries as diverse as pet-care, fitness, restaurants, and retail. She has extensive experience guiding emerging brands through the complexities of developing a franchise program and provides sophisticated ongoing support to companies of all sizes through every step of growth. Representative matters include drafting disclosure documents, counseling clients on regulatory and compliance issues, negotiating commercial business relationships, restructuring existing franchise systems, developing or acquiring competitive concepts, expanding domestically and internationally, acquiring or divesting brands and assets, and managing the ongoing contractual needs of a franchise program. Antonia also has significant general corporate and transactional experience in matters such as mergers and acquisitions, private equity, corporate restructuring, and securities laws. Combining her general business experience with her specialization in the franchise industry, Antonia is able to provide a solution to every client’s evolving business needs, offering personalized and efficient solutions that address the unique complexities of each business.
Antonia earned her law degree from The University of Chicago Law School, where she focused her class work on corporate and transactional law. In law school, Antonia also joined the Institute for Justice Clinic on Entrepreneurship, a legal clinic offering assistance to local small businesses. Much of Antonia’s passion for business law comes from having started her own pet care company, which she operated for two years prior to enrolling in law school.
Antonia is a member of the International Franchise Association and the American Bar Association’s Forum on Franchising. Antonia is also the Young Lawyer’s Division Liaison to the ABA’s Governing Committee of the Forum on Franchising, and a Co-Chair of the International Franchise Association’s Women’s Franchise Network (Chicago Chapter). Prior to joining Cheng Cohen, Antonia practiced at Drinker, Biddle & Reath, LLP in Chicago, where her practice focused on mergers and acquisitions, securities and governance, commercial finance and general corporate matters.
