Tranactional Business Attorney

We are seeking a licensed attorney to join our team of experienced transactional business attorneys.

Responsibilities: Use knowledge of contract law, general business law, and corporate law to review, analyze, draft, and revise commercial contracts and vendor agreements. Draft franchise disclosure documents and response to comment letters issued by franchise regulatory authorities. Assist clients with compliance of state franchise regulations. Incorporate business entities, draft governing documents for such entities, and ensure general corporate compliance by utilizing knowledge of contract law, general business law, and corporate law. Represent clients in mergers and acquisitions and draft and negotiate purchase agreements and prepare all other ancillary documents such bill of sale, assignment agreements, lease riders, consent to transfer, general releases, closing certificates, closing checklists, promissory notes, contribution agreements. Draft legal memos on various issues related to contract law, general business law, corporate law, and franchise law. Research legal issues related to contract law, general business law, corporate law, and franchise law on Westlaw and Practical Law. Attend client meetings and analyze their general commercial issues and advise them on legal strategy to achieve their goals. Respond to client emails regarding their general commercial issues and advise them on legal positions and strategy to achieve their goals. Review work paralegal work product. Participate in networking and client-relationship building activities. Use document management software such as Prolaw. Present weekly work status during team meetings. ***Telecommuting available on an ad-hoc basis. Domestic travel requires less than 5% of the time.***

Requirements: Juris doctor or LLM degree and 3 years in the field of business or general commercial law at a domestic or international law firm. Must be licensed to practice law in Illinois. Position also requires: experience with legal databases like Westlaw and Practical Law; experience with drafting commercial contracts; experience with legal issues presented by M&A transactions; and experience with client relationship and communication. Also we require our shortlisted candidates to pass a legal reasoning and drafting test. We require candidates to analyze a fact pattern and draft a legal memo with viable solutions. We look for the following qualities while assessing the memo: clarity of thought, analysis of contract law and business laws, legal and commercial viability of the proposed solutions, and brevity.

LITIGATION ASSOCIATE ATTORNEY

We are seeking a licensed attorney to join our team of experienced litigators.  Our litigation attorneys deal with all types of commercial litigation, though our clients are principally franchised brands.  We deal with a broad spectrum of disputes in both arbitration and state and federal court, including employment, intellectual property, contract, and franchise matters.  Responsibilities will include legal research, drafting motions and pleadings, conducting discovery, and assisting our senior attorneys at oral arguments, depositions, and trial.  Our group provides a fast-paced and entrepreneurial environment.  Experience with franchise law is an advantage, but not required.  The right candidate is an attorney who can demonstrate exceptional writing and analytical skills, including researching and analyzing case law and intricate regulations and statutes; drafting persuasive arguments; identifying, summarizing, and tracking key facts, documents, and testimony; and understanding and managing complex litigation.

The ideal candidate will:

  • have 1 to 4 years of experience practicing law, but recent law school graduates who have exceptional academic performance and who have sat for the Illinois bar exam may be considered as well;
  • have excellent written and oral communication skills;
  • have previous commercial and/or business litigation experience;
  • have participated in a law journal or in a legal clinic (focused on litigation or business law);
  • be able to think through complex legal issues in the context of business realities;
  • have an eagerness to learn; and
  • be organized, enthusiastic, detail-oriented, self-motivated, and self-assured.

TRANSACTIONAL PARALEGAL

We are seeking a licensed paralegal to join our team of experienced legal professionals.   Experience with franchise law is an advantage, but not required.   Responsibilities will include preparing and tracking franchise regulatory filings, managing corporate record books and state filing reports, and providing support to our attorneys on an array of other transactions and projects.

The ideal candidate will:

  • have at least 1-2 years’ experience in a transactional paralegal role;
  • work at an advanced level with MS Office (Outlook, Excel, Word);
  • demonstrate exceptional organizational, critical thinking and communication skills;
  • have an eagerness to learn and a willingness to adapt to a dynamic work environment with minimum supervision;
  • bring a team-oriented “can do” attitude;
