Vince is a business-minded attorney who partners with franchisors to help them build, protect, and scale their franchise systems. He advises clients across the full lifecycle of a franchisor – from formation and brand development to expansion, acquisitions, and exit.
As a franchise lawyer, Vince represents franchisors in all aspects of franchising. His experience includes drafting and maintaining Franchise Disclosure Documents, counseling on franchise program structure, protecting clients with robust but marketable franchise and development agreements, interfacing with regulators and ensuring compliance with federal and state franchise laws, and advising on day-to-day challenges that franchisors encounter.
Vince has taken his foundational intellectual property experience and applied it to his franchise legal practice by leading the firm’s Brand Protection Group. He counsels clients on trademark strategy, including trademark selection, clearance, registration, enforcement, and portfolio management. One of Vince’s favorite areas of his practice is collaborating with clients’ creative teams in selecting and securing new trademarks.
Vince also has significant experience in representing buyers and sellers in asset and equity transactions in a variety of deal structures. He continues to counsel clients in deal structuring, due diligence, negotiation, and closing, with a focus on managing risk while keeping transactions efficient and commercially sound.
Many clients look to Vince as an outside general counsel role, turning to him for day-to-day legal advice, such as guidance on vendor contracts, corporate governance, regulatory compliance, and creative and proactive legal solutions.
