Antonia advises franchise brands, emerging companies, and investors on regulatory, corporate, and transactional matters.

Antonia works with franchisors at all stages of development, including preparing franchise disclosure documents and agreements; negotiating and documenting franchise sales, transfers, and terminations; structuring domestic and international expansion; and developing compliance and risk programs that support consistent execution as systems scale.

Antonia also advises clients on complex business transactions ranging from single-unit franchise sales to public company mergers and acquisitions. She represents both franchise brands pursuing strategic exits, and the private equity groups and platform companies acquiring these systems.

In addition, Antonia provides a full suite of general corporate and transactional services, including commercial contract negotiations, equity investments and joint ventures, cross-border transactions, corporate restructurings, and asset acquisitions and divestitures, often in the context of growing or multi-jurisdictional businesses.

Across her practice, Antonia is known for a systems-oriented approach, helping clients anticipate pressure points and align legal frameworks with operational realities as complexity and scale increase.

Prior to joining Cheng Cohen, Antonia’s practice focused on mergers and acquisitions, securities and governance, commercial finance, and general corporate matters. She also previously founded and operated a pet care business, experience that informs her practical, business-minded approach to advising clients.

Antonia is the only member of her immediate family without a Ph.D.Antonia has lived in Chicago since she was 18, but still wonders when she should start saying she is “from Chicago.”Antonia is an avid reader – tackling everything from Jane Eyre to Lonesome Dove.  She also takes recommendations.The only thing Antonia loves more than Maryland crab-cakes are the Baltimore Ravens. As you might guess, Antonia is from Maryland.Antonia is an enthusiastic hobbyist and is rarely not learning a new skill – whether it be calligraphy, gardening, yoga, new languages, or home repairs.Antonia crosses the street to meet dogs. In fact, Antonia has pulled over her car to meet dogs.As a child, Antonia spent a year living in Essen, Germany, where she completed 4th grade.Promptly after she took the bar exam, Antonia set off on a 7-day trek in Cappadocia, Turkey with her father.Antonia was raised in a town of 4,000 and graduated high school in a class of 45.One of Antonia’s life goals is to visit every U.S. National Park and Monument. Yes, that includes the ones in Guam and American Samoa.
